Terms of Service

Welcome to LearnAE. These Terms of Service ("Terms") form a binding agreement between AE BOOTCAMP LTD (trading as LearnAE), registered in England and Wales (company number 15431400), registered address: 17 Stamer House, 45 Quarry Avenue, Stoke-On-Trent, England, ST4 7EW ("we", "us", "our") and you, whether acting as an individual or on behalf of an organisation ("you").

By using our website at learnae.org, purchasing any product, or taking the Video ROI Quiz, you agree to these Terms. If you do not agree, please do not use the Platform.

You must be at least 18 years old to use this Service.

1. What LearnAE Is

In Plain English: LearnAE is a video production system that helps marketing teams bring video creation in-house.

LearnAE is not a general video editing course. It is a structured system and implementation roadmap designed to help organisations move from outsourced agency video production to efficient, in-house operations.

The Service includes:

• Our web platform, diagnostic tools, and dashboards
• Proprietary templates, presets, scripts, automation tools, and operational playbooks
• All supporting backend infrastructure

2. Product Tiers & Service Levels

In Plain English: We offer three pricing tiers (Owner-Producer, In-House, and Executive) with clear boundaries on support and consultation scope.

The Platform provides three product tiers. Pricing, licence scope, and deliverables for each are:

2.1. Tier 2 Support Boundaries

In Plain English: Tier 2 includes up to 5 async video audits per company, each capped at 10 minutes, with a 48-hour response window and 6 months of priority support.

• Project Audits: Reviews are delivered asynchronously via Loom. You submit your .aep project file or a screen recording.
• Audit Allowance: Up to 5 audits per company, shared across all seats. Audits may be claimed during the coursework or during the support window. Unclaimed audits expire at the end of that window and are not refundable or transferable.
• Audit Length: Each review is capped at 10 minutes. We diagnose structural issues; we do not execute creative work for you.
• Response Time: 48-hour turnaround, excluding weekends and public holidays.
• Greenlight Certification: One final-project review per company, regardless of seat count. It is issued automatically at the end of the curriculum and does not consume an audit from the allowance above.
• Priority Support: Available for 6 months from your purchase date.

2.2. Tier 3 Enterprise Scope

In Plain English: Tier 3 provides fractional creative direction. We do not handle day-to-day agency tasks like media buying.

Tier 3 is fractional creative direction and systems installation, not outsourced marketing. We do not handle media buying, ad management, or daily agency fulfilment.

Engagements include bi-weekly 45-minute strategy calls. Communication runs through a single guest channel in your Slack or Teams workspace, with response times defined in a custom SLA agreed at intake.

3. Account Security

In Plain English: Your dashboard access is secured with a unique key. We use rate-limiting and fraud detection to keep accounts safe.

When you sign up, we generate a secure access token linked to your account. You are responsible for keeping it confidential.

We protect the Platform with:

1. Rate limiting to prevent brute-force attacks
2. Fraud detection where suspicious activity triggers automatic review and may result in temporary access restrictions
3. Uniqueness enforcement where attempts to tamper with account tokens or identifiers will be flagged and investigated

4. Intellectual Property & Licensing

In Plain English: Everything we provide is our intellectual property. Tier 1 licenses it for one brand, internally. Tier 2 and Tier 3 add commercial, multi-brand rights, so agencies and teams can use the system on client work. No tier may resell or redistribute the assets themselves.

All assets distributed through the Platform, including templates, project files, presets, scripts, and playbooks, are the exclusive intellectual property of LearnAE.

On payment, we grant you a limited, non-exclusive, non-transferable licence to use our assets to produce video work. The scope of that licence depends on the tier you purchased.

4.1. Tier 1: Internal Use, One Brand

Tier 1 licenses one named individual to use our assets to produce video for a single brand: your own business, or the employer that purchased on your behalf.

Tier 1 does not permit you to produce video for clients, for third parties, or for any brand other than the one covered by your licence. If you produce video for more than one brand, you need Tier 2 or Tier 3.

4.2. Tier 2 and Tier 3: Commercial and Multi-Brand

Tier 2 and Tier 3 license your organisation to use our assets to produce video for any number of brands, including paid client work. Agencies, studios, freelancers with multiple clients, and in-house teams serving more than one brand are covered here and are not covered by Tier 1.

• Tier 2 covers one manager workspace plus the authorised creative seats included in your purchase. Everyone using the assets must occupy a seat.
• Tier 3 covers the licensed department named in your enterprise agreement.

This grant covers the video work you produce with our assets. It never extends to the assets themselves, which remain subject to §4.3 at every tier.

4.3. Restrictions That Apply to Every Tier

Regardless of tier, you may not:

• Resell, redistribute, sub-license, or publicly share our scripts, templates, project files, presets, or playbooks, whether modified or unmodified
• Share account credentials or provide asset access to anyone outside your licensed seats
• Reverse-engineer or decompile our scripts, templates, or project files
• Scrape, extract, or programmatically copy any content from the Platform
• Use our assets or curriculum to build, deliver, or sell a competing training or template product

Delivering finished video to a client is permitted under §4.2. Delivering our source assets to that client, as project files, templates, or presets they retain and reuse, is not.

This licence is revocable only if you breach these Terms (such as through unauthorised redistribution, reverse engineering, or non-payment).

5. Payments & Refunds

In Plain English: Discounts are self-certified. You have a 14-day cancellation right, our "Ship It" guarantee on Tiers 1 and 2, and a 30-day unconditional refund for Tier 3.

Payments are processed through Stripe. Access is provisioned after payment is confirmed.

• Small Business Grant: The discounted $995 price is self-certified at checkout. We reserve the right to audit eligibility and revoke access if the claim is materially false.
• 14-Day Right to Cancel: Under UK Consumer Contracts Regulations 2013, you have a 14-day cancellation window for digital content. By requesting immediate access at checkout, you acknowledge that this right is waived once digital delivery begins.
• "Ship It" Guarantee (Tiers 1 and 2): Follow the 6-week roadmap and use the templates. If you still can't produce a professional brand video within 30 days of finishing, our team steps in and works with you until it ships, and if it comes to it, we'll produce the asset for you ourselves. The 30-day window starts when you log Module 6 as complete.
• Enterprise Guarantee (Tier 3): Request an unconditional full refund within 30 days if you are unsatisfied with the onboarding audit or systems blueprint.

6. Privacy & Data

In Plain English: We do not use tracking cookies. Our analytics do not identify you or follow you between visits. We keep personal data only as long as needed.

We respect your privacy. Our analytics are routed through our own domain, we strip browser cookies, and we do not use persistent tracking identifiers or record your session. Data is processed on a Legitimate Interests basis under GDPR.

7. Limitation of Liability

In Plain English: Everything is provided "as is". Our liability is capped at what you paid us. We never limit liability for fraud, injury, or anything the law requires.

*Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.*

THE PLATFORM AND ALL MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Subject to the above, LearnAE shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for all claims under these Terms shall not exceed the fees you paid us in the 12 months before the claim arose.

8. Governing Law & Disputes

In Plain English: English law applies. Email us with complaints. If any clause is invalid, the rest still stands.

These Terms are governed by the laws of England and Wales.

If any part of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary. If modification is not possible, that part will be removed and the remaining Terms will continue in full effect.
